Partnership Programme Documentation

This document sets out the Referral submission process for OneUp partners. It is incorporated by reference into the OneUp Partnership Agreement Standard Terms and updated from time to time. Version: June 2026.

This document covers the process for submitting Referrals to OneUp Sales. The process by which OneUp Sales submits Referrals to the Partner will be agreed and documented at onboarding.

1. Referral Eligibility

A Referral is a prospective customer introduced to OneUp Sales by the Partner in accordance with the Partnership Agreement.

A Referral is eligible for a Referral Fee (where applicable under the Cover Page) if all of the following conditions are met:

  • The prospect is not an existing OneUp Sales customer.
  • The prospect is not in OneUp Sales' active sales pipeline at the time of submission.
  • The prospect enters into a contract with OneUp Sales within the Deal Window from the date of submission.
  • The Referral is submitted with complete and accurate information in accordance with section 2 of this document.

Where eligibility is uncertain, the Partner should contact the OneUp Referral Manager prior to submission.

2. Referral Submission

2.1 Required information

Each Referral submission must include, at minimum, the following information:

2.2 Submission method

Referrals should be submitted by emailing the OneUp Referral Manager at the address confirmed at onboarding, or via a referral submission form shared by the Referral Manager.

 

3. Post-Submission Process

Following submission, the process is as follows:

  1. Acknowledgement — OneUp Sales will acknowledge receipt of the Referral within 2 business days and confirm whether it is eligible. Acknowledgement does not constitute acceptance.
  2. Acceptance or rejection — if the Referral is eligible, OneUp Sales will confirm acceptance in writing. If it is not eligible, the reason will be provided.
  3. Introduction — OneUp Sales will manage the sales process. The Partner may be asked to facilitate an introduction or provide additional context on the prospect.
  4. Progress updates — the OneUp Referral Manager will notify the Partner of significant milestones.
  5. Referral Fee — where applicable under the Cover Page, payment will be made quarterly in arrears. A quarterly report confirming the calculation will be provided.

4. Referral Fees and Reporting

This section applies only where the Cover Page specifies a Referral Fee. Where N/A is specified, this section does not apply.

4.1 Fee calculation

The Referral Fee is calculated as a percentage of the recurring subscription fees paid by the referred customer to OneUp Sales in each month of their first contract term, as specified on the Cover Page. The following are excluded from the calculation:

  • One-off fees (set-up, implementation, training, onboarding, data migration)
  • Professional services or consulting fees
  • Add-on or third-party pass-through charges
  • Sales taxes or VAT
  • Any fees due but unpaid by the referred customer
4.2 Reporting and payment

Within 30 days of the end of each calendar quarter, OneUp Sales will issue a report covering:

  • The name of each referred customer generating a fee in that quarter
  • The subscription fees received from that customer in the quarter
  • The Referral Fee payable to the Partner for that customer
  • Any amounts withheld due to non-payment by the customer

Payment will be made in the currency specified on the Cover Page (default GBP) within 30 days of quarter close.

Disputes regarding quarterly report calculations should be raised with the OneUp Referral Manager within 30 days of receipt. A response will be provided within 10 business days.

 

5. Marketing and Enablement

5.1 Available resources

Resources available to partners may include the following, among others. Contact your Referral Manager for details.

  • OneUp product overview and key messaging
  • Joint one-pager (where produced for your partnership)
  • OneUp brand guidelines and approved logo files
  • Case studies and proof points

Brand assets must be used in accordance with the OneUp brand guidelines. Logos may not be modified or used in contexts unrelated to the partnership.

5.2 Enablement

A product walkthrough and joint value enablement session may be arranged upon request. Sessions may be requested or scheduled through the OneUp Referral Manager.

5.3 Co-marketing

Joint marketing activities — including social media posts, customer communications and events — are available on a case-by-case basis, coordinated between the Partner and the OneUp marketing team via the Referral Manager.

 

6. Contacts

The primary point of contact for all partnership-related matters is the OneUp Referral Manager, whose details are confirmed in writing upon execution of the Partnership Agreement.

The Referral Manager can assist with:

  • Referral submissions and eligibility queries
  • Referral fee and reporting queries
  • Enablement and marketing requests
  • Amendments to partnership terms
  • Updates to the Partner's referral submission process
